Welcome to Viva La Burma! We are honored to have you join our community. These Terms and Conditions (“Terms”) govern your use of our platform as an artist and vendor (“Artist,” “Vendor,” “you”). By creating an account and uploading your artwork, you agree to these Terms. Please read them carefully.

1. The Agreement

This document forms a legally binding agreement between you and Viva La Burma (“the Company,” “we,” “us”). Our platform allows you to upload your original artwork (“Designs”) to be sold on various products (“Products”) to customers. We handle production, sales, and shipping.

2. Your Intellectual Property Rights

This is the most important part of our agreement. We respect your art, and you will always own it.

• You Retain Ownership: You retain full ownership, copyright, and all intellectual property rights to your original Designs. We do not claim any ownership rights over your artwork.

• License to Viva La Burma: To operate our service, you grant Viva La Burma a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify (for formatting purposes), and distribute your Designs for the purpose of producing, promoting, and selling Products featuring your artwork.

• What this means: This license allows us to place your Design on a t-shirt, show that t-shirt on our website, market it on social media, and sell it to a customer. It is strictly for the purpose of operating the Viva La Burma platform.

• Termination of License: This license is flexible. You can terminate it at any time by removing your Designs from our platform. We will cease selling Products with the removed Designs; however, we may fulfill any orders placed before the removal.

3. Your Responsibilities as an Artist

• Originality and Rights: You represent and warrant that you are the sole creator of your Designs and that they do not infringe upon the copyright, trademark, or intellectual property rights of any third party. You are fully responsible for the content you upload.

• Prohibited Content: You may not upload any content that is unlawful, defamatory, obscene, hateful, or discriminatory. We reserve the right to remove any Design or suspend any account that violates this policy without notice.

• Account Information: You agree to provide accurate and up-to-date information for your account and payment details. You are responsible for maintaining the security of your account password.

4. Pricing and Payments

Our payment structure is designed for transparency and to empower you.

• The Formula: The final selling price of a Product is determined by the following formula: Our Base Cost + Your Artist’s Cut = Selling Price.

• Base Cost: We establish a fixed “Base Cost” for each Product type. This covers the cost of the blank item, our printing services, and operational overhead.

• Artist’s Cut: You have the freedom to set your own “Artist’s Cut,” which is the profit you will earn from each sale.

• Payouts: We will pay out your accumulated earnings on a monthly basis, provided your balance meets the minimum payout threshold of 500 THB. Payouts will be made via the payment method you specify in your dashboard.

• Taxes: You are solely responsible for paying any and all taxes on the income you earn through Viva La Burma, in accordance with the laws of your jurisdiction.

5. Viva La Burma’s Role

• Production & Fulfillment: We are responsible for the production, quality control, packaging, and shipping of all Products to the customer.

• E-commerce Platform: We will maintain and operate the Viva La Burma website, process customer payments, and manage the online sales experience.

• Customer Service: We will handle all customer inquiries, returns, and exchanges related to the Products.

• Marketing: We will actively market the Viva La Burma platform and may, at our discretion, feature your Designs in our marketing materials to promote sales.

6. Termination

• By You: You can terminate this agreement at any time by closing your account and removing your Designs from the platform.

• By Us: We reserve the right to suspend or terminate your account at any time if you are found to be in breach of these Terms, particularly concerning intellectual property infringement or prohibited content.

7. Disclaimers and Limitation of Liability

The Viva La Burma platform is provided “as is.” While we strive for excellence, we do not guarantee that the service will be error-free or uninterrupted. To the fullest extent permitted by law, Viva La Burma shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the platform.

8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts of Chiang Mai, Thailand.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of any significant changes via email or a notification on your artist dashboard. Your continued use of the platform after such changes constitutes your acceptance of the new Terms.

By creating an artist account, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
